Biography of Stephen R. Drake - Epstein Becker & Green, P.C.
STEPHEN R. DRAKE is a member of the firm in the Health Care and Life Sciences and the Business Law Practices in the firm's Chicago office.
Mr. Drake:
Represents public and privately held clients in securities offerings, mergers and acquisitions, complex business transactions and general corporate matters
Represents biotechnology companies, medical device companies and a variety of technology companies with an emphasis on assisting emerging growth and middle market companies with early-stage, venture and exit financing including IPOs, PIPEs and reverse mergers
Handles federal and state securities law compliance matters in connection with private placements of equity, debt and convertible securities
Practices before the Securities and Exchange Commission, including representing companies in IPOs and other registered securities offerings under the Securities Act of 1933, periodic securities reporting under the Securities and Exchange Act of 1934, and securities filings in connection with mergers and acquisitions
Represents buyers and sellers in all manner of merger, acquisition and divestiture transactions, both domestic and international, including asset sales, stock sales, tax-free mergers, consolidations and joint ventures
Counsels clients with respect to Sarbanes-Oxley compliance and corporate governance.

Counsel to manufacturing company in distributor buy-out and redemption transaction financed by $14 million in senior and subordinated debt
Handled federal securities filings for public technology company in connection with a $500 million acquisition
Counsel to public manufacturing company in $55 million business unit divestiture
Counsel to national services firm in $45 million divestiture
Served on the steering committee of the Intermountain Venture Capital Forum
